Articles of Association of Shanghai DISTANCE RUNNING ASSOCIATION
Chapter One General
Article 1 The name of this association is Shanghai DISTANCE RUNNING ASSOCIATION, referred to as DISTANCE RUNNING ASSOCIATION, English translation: " SHANGHAI DISTANCE RUNNING ASSOCIATION”, Abbreviated" SDRA”
Article 2 In accordance with the "Regulations on the Administration of Registration of Social Organizations", enterprises and institutions, social organizations, road runners, and related workers who engage in or organize road running in this city participate in domestic and foreign road running competitions for many times (more than twice) It is a professional non-profit social group legal person formed by fans voluntarily.
Article 3 The purpose of this association: to hold high the great banner of socialism with Chinese characteristics, to use Deng Xiaoping Theory and “Guided by the important thought of "Three Represents", thoroughly implement the Scientific Outlook on Development. Adhere to the spirit of reform and innovation, abide by the Constitution, laws, regulations and national policies, and abide by sports ethics; abide by national laws, regulations and related policies, and abide by social morality ;Guide and promote the development of road running in Shanghai; promote the communication between the city's road running and the inside and outside of the province, and with counterparts at home and abroad; establish a unified standard and supervision and management of the city's road running; field of activity.
Article 4 The registration authority of the Association is the Shanghai Administration of Social Organizations, and the competent department of the industry is the Shanghai Municipal Sports Bureau. The Association accepts the supervision and management and business guidance of the registration management authority and industry authorities. It is a unit member of Shanghai Sports Federation.
Article 5 The residence of the association is located on the 1st floor, No. 888, Huashan Road, Changning District, Shanghai.
Chapter two Mission, scope of business, principles of activity
Article 6 The mission of this association:
(1) Accept the entrustment of the competent industry department to manage, coordinate and organize the road running in this city, and be responsible for the special management of the road running in this city;
(2) Study and formulate the development plan and annual plan of the city's road running, promote the popularization of mass road running activities, and promote the improvement of the technical level of road running;
(3) Cooperate and assist the competent industry department to conduct special review, acceptance and approval of the road running units in this city;
(4) Represent the city to participate in various activities organized by the General Administration of Sport of China, domestic and international road running organizations, and undertake various domestic and international road running activities and competitions;
(5) Promote and popularize road running knowledge, and provide professional guidance and information consulting services for road running enthusiasts;
(6) Strengthen contact and cooperation with domestic and international road running organizations, develop friendly exchanges, and enhance special exchanges;
(7) Carry out activities in accordance with laws and regulations, support the road running sports industry market, and stimulate the vitality of road running sports for self-development;
(8) Complete other tasks assigned by the municipal government and industry authorities.
Article 7 The business scope of the association: carry out road running competitions, activities and exchanges, assist relevant departments to guide and manage the city's road running, and provide citizens with road running information, consultation, knowledge popularization and training.
Article 8 The principles of the association's activities:
(1) The Association abides by the Constitution, laws, regulations and national policies, consciously abides by the basic principles determined by the Constitution, consciously safeguards national unity, security and national unity, and consciously safeguards national interests, social public interests and the legitimate rights and interests of other organizations and citizens , abide by social morality and public order and good customs, and carry out public welfare or non-profit activities in accordance with the approved charter;
(2) To organize meetings democratically, implement democratic centralism, establish democratic decision-making, democratic elections and democratic management systems, the formation of leading institutions and the decision-making of major issues must be discussed collectively, and decisions are made on the basis of the principle of the minority obeying the majority;

Chapter third member
Article 9 The association is composed of individual members and unit members.
Article 10 To apply to join the association, one should support the constitution of the association, have the willingness to join the association, and meet the following conditions:
(1) Recognize and uphold the association's constitution;
(2) Join the Association voluntarily;
(3) Enterprises, public institutions and social organizations engaged in or organizing road running in this city can apply to become unit members;
(4) Road runners, related workers and enthusiasts who have participated in domestic road running competitions for many times (more than twice) can apply to become individual members.
Article 11 The membership procedure is as follows:
(1) Submit an application for membership;
(2) Approved by the board of directors, and issued a relevant certificate for agreeing to absorb membership.
Article 12 Members enjoy the following rights:
(1) The right to vote, be elected and vote in the association;
(2) The right to participate in the activities of the Association;
(3) The priority right to obtain the services of the Association;
(4) The right to know about the work of the Association, the right to criticize and suggest, and the right to supervise;
(5) The right to voluntarily join and withdraw from the membership;
Article 13 Members fulfill the following obligations:
(1) Abide by the constitution of the association;
(2) Implement the resolutions of the Association;
(3) Safeguard the legitimate rights and interests of the Association;
(4) Complete the work assigned by the Association;
(5) Report the situation to the Association and provide relevant information;
(6) Pay membership dues as required;
Article 14 Members who withdraw from the membership shall notify the Association in writing and return their membership cards. Members who fail to fulfill their obligations for more than one year may be deemed to have withdrawn automatically.
Article 15 If a member seriously violates national laws, regulations, rules or the articles of association of the association, his membership will be canceled and publicized after being approved by more than two-thirds of the participants in the council.
If a member is dissatisfied with the delisting decision of the board of directors, he may file an appeal, and the board of directors shall make a reply, and if necessary, submit it to the general meeting for consideration and reply.
Chapter Four organization, person in charge
Article 16 The organizing principle of the association is democratic centralism. The formation of the leading body and the decision-making of major issues must be discussed collectively, and decisions are made on the basis of the principle of the minority obeying the majority.
Article 17 The persons in charge of the association refer to the president, vice-president and secretary-general.
The person in charge of the Association shall abide by the laws, regulations and articles of association, faithfully perform their duties, safeguard the rights and interests of the Association, and abide by the following code of conduct:
(1) Exercising rights within the scope of their duties and not exceeding their rights;
(2) Do not use power to seek illegitimate benefits for yourself or others;
(3) Do not engage in activities that harm the interests of the Association.
Article 18 The highest authority of the Association is the General Assembly. The term of the General Assembly is four years. The general meeting of members is held once a year, and in case of special circumstances, the board of directors decides to hold it at any time.
The powers of the General Assembly are:
(1) Formulate and revise the articles of association;
(2) Formulate and revise membership dues standards;
(3) Formulate and revise the methods for the election of persons in charge and directors;
(4) Election or dismissal of council members;
(5) Review the work report and financial report of the council;
(6) Decide on major matters such as name change and termination.
Article 19 A general meeting must have 2 /3 The meeting can only be held if the representatives of the above members are present, and the resolution must be passed by more than half of the representatives of the members present. The decision to terminate the meeting shall be valid if more than half of the actual member representatives present at the meeting agree. To formulate and amend the articles of association, subject to the attendance of member representatives 2 /3The above votes are valid only if they are passed.
A member representative may entrust other member representatives to attend the meeting as an agent, and the agent shall present a power of attorney to exercise voting rights within the scope of authorization.
Article 20 The General Assembly elects directors to form a council. The Council is the executive body of the Association, responsible for leading the daily work of the Association and being responsible to the General Assembly. The term of office of the council is 4 years, upon expiration, a general meeting of members shall be held for general election. If due to special circumstances, the re-election cannot be held on time, it shall be approved by the Council of the Association, reported to the competent industry department for review and approval, and apply to the registration management authority for postponement of the re-election. The longest extension of the re-election generally does not exceed one year.
Article 21 The Council's mandate is to:
(1) Convene a general meeting of members and submit work reports and financial reports to the general meeting;
(2) Implement the resolutions of the general meeting of members;
(3) Election or dismissal of the person in charge of the association;
(4) Deciding on the establishment, modification or cancellation of daily offices, branches and representative offices, and filing or applying for registration with the registration management authority according to law;
(5) Deciding on the appointment and dismissal of the Deputy Secretary-General and principals of various agencies;
(6) Deciding on the employment and dismissal of staff of various institutions;
(7) Leading various agencies to carry out their work;
(8) Formulate internal management system;
(9) Draft the draft articles of association, draft membership fee standards, and draft methods for the election of responsible persons (including directors), and submit them to the general meeting for approval;
(10) Listen to and review the work report of the Secretary-General, and inspect the work of the Secretary-General
(11) Deciding on the admission or expulsion of members;
(12) Deciding on other major matters.
Article 22 The council holds two meetings every year, and can be held at any time under special circumstances. Supplementary directors must be elected by the general meeting of members. Under special circumstances, by-election by the board of directors is possible, but the by-election of directors must be confirmed by the next general meeting.
Article 23 Council meetings are convened and chaired by the chairman.

Article 25 Voting at the General Assembly and the Council of the Association shall be conducted in a democratic manner. The election of directors and persons in charge shall be conducted by secret ballot.
Minutes shall be prepared for the above meetings, and if resolutions are formed, resolutions and minutes of the meeting shall be prepared. Among them, the meeting resolutions of the board of directors shall be reviewed and signed by the attending directors on the spot.
Members have the right to consult the articles of association, rules and regulations, various meeting resolutions, meeting minutes and financial accounting reports.
Article 26 The secretary-general of the association is the legal representative. The legal representative of the Association shall not serve as the legal representative of other social groups at the same time. The legal representative should be a Chinese mainland resident.
If the legal representative of the association is required to make a decision and the legal representative is unable to perform his duties due to special reasons, the board of directors shall make a decision and form a resolution in accordance with the principle of the minority obeying the majority.
Article 27 The person in charge of the association must meet the following qualifications:
(1) Adhere to the party's line, principles, and policies;
(2) Have greater influence and higher reputation in the business field of the Association;
(3) The maximum working age generally does not exceed 70 One year old, in good health, able to continue to work normally;
(4) Having full capacity for civil conduct.
Article 28 Those who are over 70 years old due to work needs must report their personnel status to the competent industry department and the registration management agency for approval before the election.
Article 29 A person who has one of the following circumstances cannot serve as the person in charge of the association:
(1) Sentenced to public surveillance, criminal detention or fixed-term imprisonment for a crime, and the date of execution of the sentence has not expired5Year;5年的;
(2) Being sentenced to deprivation of political rights due to a crime is being executed or has been sentenced to deprivation of political rights;
(3) Once served as the person in charge of a social group whose registration was revoked due to violations of the law, and was personally responsible for the social group’s illegal acts, and it has not expired since the date the social group was revoked3Year;3年的;
(4) Not having full capacity for civil conduct.
Article 30 The term of office of the person in charge of the association is the same as that of the board of directors, and the re-election generally does not exceed two terms. Those who need to continue to be re-elected due to special circumstances must be voted by the board of directors, reported to the competent industry department for review and approval, and approved by the registration management agency before they can hold office.
Article 31 The president of the Association shall exercise the following functions and powers:
(1) Preside over the general assembly, convene and preside over the council;
(2) Check the implementation of the resolutions of various meetings;
(3) lead the work of the council;
(4) Other functions and powers stipulated in the articles of association.
Article 32 Article 32 The secretary-general of the association is generally full-time. The Secretary-General works under the leadership of the Council. The Secretary-General of the Association shall exercise the following functions and powers:
(1) Presiding over the daily work of the office and organizing the implementation of the annual work plan;
(2) Coordinating the work of various branches and representative offices;
(3) Formulate internal management rules and regulations, and report to the board of directors for approval;
(4) Proposal to the Council for the appointment or dismissal of the Deputy Secretary-General and the heads of various agencies;
(5) Propose to the council to hire or dismiss the staff of various institutions;
(6) Report the work situation to the chairman and the board of directors;
(7) Sign important documents on behalf of the Association
(8) Handle other daily affairs.
Article 33 The Association has set up the General Management Department, the Competition Department, the Technical Training Department, the Medical Security Department, and the Cooperative Promotion Department to handle the daily affairs of the Association.
The establishment of a daily office must be approved by the council and reported to the competent industry department and the registration management agency for record.
Article 34 The full-time staff of the Association shall participate in the job training organized by the registration management authority or the competent industry department, familiarize themselves with and understand the laws, regulations and policies of social organizations, and strive to improve their professional capabilities.
Article 35 The Association has established a party building liaison system.
Article 36 In order to strengthen the internal supervision mechanism of the association, the association has a supervisor1 name. The term of office of supervisors is the same as that of directors, and can be re-elected upon expiration. The chairman, vice president, secretary general, directors, financial personnel and family members shall not concurrently serve as supervisors.
Obligations and Rights of Supervisors:
(1) Accept member complaints;
(2) Supervise the Council's compliance with laws and regulations;
(3) Attend the meetings held by the association, have the right to ask questions and suggestions to the council, and report the situation to the registration management authority, industry authorities, and taxation and accounting authorities;
(4) Supervise the implementation of the association's financial and accounting systems, regulations, and policies in accordance with the procedures stipulated in the articles of association;
(5) Comply with relevant laws and regulations and the articles of association, and faithfully perform duties.
Chapter Five Management and Use of Property
Article 37 The club's income comes from:
(1) Membership fees collected according to regulations;
(2) donation;
(3) Government funding;
(4) Income from events or services carried out within the approved business scope;
(5) interest;
(6) Other legal income.
Article 38 The income and usage of the association shall be announced to the general assembly and subject to supervision and inspection by the general assembly.
If the Association accepts income from overseas donations, it shall report the acceptance and use of the donations to the competent industry department and the registration management authority.
Article 39 Except for the reasonable expenses related to the association, the income obtained by the association shall be used for registration and verification or public welfare or non-profit undertakings stipulated in the articles of association, and shall not be distributed among members.
Article 40 The property of the Association and its fruits are not used for distribution, but reasonable wages and salaries are not included.
The wages, benefits and benefits of the full-time staff of the Association and the subsidies for employing retirees are formulated and implemented by the Council in accordance with the corresponding national policies and regulations, and paid from the income of the Association.
Article 41 The assets of the Association shall not be embezzled, privately divided or misappropriated by any unit or individual.
The sponsor does not retain or have any property rights to the property invested in the Association.
Article 42 Taxable income and related costs, expenses and losses obtained by the Association shall be calculated separately from tax-exempt income and related costs, expenses and losses.
Article 43 The Association implements the "Accounting System for Private Non-profit Organizations", conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures that accounting materials are legal, authentic, accurate and complete.
The Association uses the financial bills of social groups stipulated by the state.
The Association accepts the tax supervision and accounting supervision implemented by the taxation and accounting authorities according to law.
Article 44 The Association is equipped with professionally qualified accountants. Accountants are not cashiers. When the accountants are transferred or leave their posts, they must complete the handover procedures with the receivers.
Article 45 The association’s business and accounting year is from January 1st to December 31st each year. Before March 31st each year, the board of directors will review the following matters:
(1) Last year's business report and final accounts of expenditure;
(2) This year's business plan and expenditure budget;
(3) Property inventory.
Article 46 When the Association renews its term and replaces its legal representative, it shall conduct financial audit and submit the audit report to the registration management authority. Before the association is deregistered and liquidated, it shall conduct a financial audit of the suspension of business.
Article 47 Article 47 The association accepts the annual inspection organized by the registration management authority in accordance with the "Regulations on the Administration of Registration of Social Organizations".
Chapter Six Termination and Surplus Property Disposition
Article 48 The Association shall be terminated under any of the following circumstances:
(1) Fulfilling the purpose stipulated in the articles of association;
(2) Unable to continue to engage in public welfare activities in accordance with the purpose stipulated in the articles of association;
(3) Divided or merged;
(4) Self-dissolution.
Article 49 To terminate the Association, the Council shall propose a termination motion, which shall be reported to the competent industry department for review within 15 days after being voted by the General Assembly. Report to the registration management authority within 15 days after review and approval by the competent industry department.
Article 50 Before the association is terminated, a liquidation organization shall be established under the guidance of the registration management authority and the competent industry department to clean up creditor's rights and debts and deal with the aftermath. During the liquidation, not to carry out activities other than liquidation.
Article 51 After the association completes the liquidation work, it should apply to the registration management authority for deregistration procedures. After the deregistration is completed, it will be terminated.
Article 52 The remaining property after the cancellation of the Association shall be used for public welfare or non-profit purposes or be donated by the registration management authority to organizations with the same nature and purpose as the Association, and shall be announced to the public.
Chapter Seven supplementary provisions
Article 53 Amendments to the Articles of Association shall be submitted to the General Assembly for consideration and approval after being voted by the Council. Within 15 days after the deliberation and approval of the general meeting, it shall be reported to the competent industry department for review and approval, and shall be reported to the registration management authority for approval.
Article 54 This charter was approved by the vote of the first and second member meeting on January 27, 2016. If the provisions of this Charter are inconsistent with national laws, regulations and policies, the national laws, regulations and policies shall prevail.
Article 55 The right to interpret this statute belongs to the Council of the Association.
Article 56 This Articles of Association shall come into effect on the date of approval by the registration authority.
